These Terms and Conditions ("Terms") govern your access to and use of the website, mobile applications, platform, and services (collectively, the "Services") provided by Vertex Financial Technologies Inc. ("Vertex," "we," "our," or "us").

By registering for an account, accessing, or using our Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you may not access or use the Services.


1. FinTech Platform Disclaimer

Vertex is a financial technology platform, not a bank. Banking services, corporate card issuance, and payment processing are provided by our partner financial institutions and banking partners ("Banking Partners"). All funds held in your Vertex account are held by our partner banks and may be eligible for FDIC insurance subject to applicable limitations.


2. Eligibility and Account Registration

  • Commercial Use Only: The Services are designed strictly for business, commercial, and institutional purposes. You agree not to use the Services for personal, family, or household purposes.

  • Verification (KYC/KYB): To open an account, you must provide accurate, current, and complete information about your business and its beneficial owners. You authorize Vertex and its partner banks to verify this information, which may include obtaining credit reports and background checks.

  • Account Security: You are responsible for maintaining the confidentiality of your account credentials, including multi-factor authentication (MFA). You agree to notify us immediately of any unauthorized access.


3. Services and Corporate Cards

  • Issuance: Vertex corporate cards are issued by our partner banks. Their use is subject to these Terms as well as the specific Cardholder Agreement provided at the time of issuance.

  • Authorized Users: You may issue cards or grant platform access to your employees or contractors ("Authorized Users"). You remain fully responsible for all transactions, charges, and actions taken by your Authorized Users.

  • Transaction Limits: Vertex and its Banking Partners reserve the right to establish spending limits, restrict categories of merchants, or decline transactions at our sole discretion for security and risk management purposes.


4. Prohibited Activities

You agree not to use the Services for any unlawful activities, including but not limited to:

  • Money laundering, terrorist financing, or fraud.

  • Operating an unlicensed money service business or illegal gambling entity.

  • Accessing the platform from a country sanctioned by the U.S. Office of Foreign Assets Control (OFAC) or equivalent local authorities.

  • Attempting to reverse-engineer, disrupt, or bypass the security infrastructures of the Vertex platform.


5. Fees and Payment Terms

  • Fee Structure: You agree to pay all applicable fees associated with your selected tier or usage as outlined on our Pricing Page or in your specific service agreement.

  • Changes to Fees: Vertex reserves the right to modify its fee structure upon prior notice. Continued use of the platform after the fee change constitutes acceptance of the new fees.

  • Right to Set-Off: You grant Vertex and its Banking Partners the right to debit your linked bank accounts or withhold funds from your Vertex balance to clear any outstanding debts, negative balances, or disputed fees.


6. Intellectual Property

All content, features, functionality, logos, and user interface designs on the Vertex platform are the exclusive property of Vertex and its licensors. You are granted a limited, non-exclusive, non-transferable, and revocable license to access the platform strictly in accordance with these Terms.


7. Limitation of Liability and Indemnification

  • As-Is Basis: The platform is provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied.

  • Limitation of Liability: To the maximum extent permitted by law, Vertex and its Banking Partners shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities arising from your use or inability to use the platform.

  • Indemnification: You agree to defend, indemnify, and hold harmless Vertex, its affiliates, and its Banking Partners from any claims, losses, liabilities, or expenses arising from your breach of these Terms or misuse of the platform.


8. Termination

  • By You: You may close your account at any time by contacting customer support, provided all outstanding balances and transactions are cleared.

  • By Us: Vertex reserves the right to suspend or terminate your account immediately and without prior notice if we suspect fraudulent activity, regulatory violations, a breach of these Terms, or if required by our Banking Partners.


9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law principles. Any disputes arising out of these Terms shall be resolved exclusively through binding arbitration in [Your City/State], except as otherwise agreed by the parties.
